McFly World routinely works with confidential roadmaps, customer data flows, unreleased products, and security architecture. This page explains how we start under a mutual non-disclosure agreement (NDA) before sensitive materials are exchanged. It is not a substitute for executed legal instruments.
Why procurement teams ask for NDAs first
An NDA creates a baseline duty of confidence for both sides, supports audit and vendor-security questionnaires, and allows architecture discussions before a full SOW is signed. It does not obligate either party to award work — only to protect information shared for evaluation.
1. What we typically protect
Subject to the exact wording of your agreement, “Confidential Information” commonly includes non-public technical, commercial, and operational information disclosed in writing or orally and identified as confidential (or which reasonably should be understood as confidential). Public information, independently developed know-how, and information received lawfully from third parties are usually excluded.
2. Process & timelines
- You send a short description of the engagement, jurisdictions, and preferred signatories.
- We confirm template (yours or ours) and circulate PDFs for signature.
- Upon mutual execution, discovery workshops, data-room access, and detailed briefings may proceed as agreed.
Typical turnaround is a few business days when templates are already approved by your legal team; first-time paper may take longer.
3. Your paper vs ours
We can sign your organisation’s mutual NDA if it is balanced (mutual obligations, reasonable term, carve-outs for advisers, and survival of trade secrets). Alternatively we can offer our mutual template for review. For regulated sectors, specialised clauses (data protection, export control, clean-room procedures) may be added by counsel.
4. Standard exceptions
NDAs do not restrict us from using general skills and experience acquired during engagements, from complying with law or court order (with notice where allowed), or from working in the same industry unless an unreasonably broad non-compete is proposed — which we typically do not accept in standard procurement NDAs.
5. After the NDA is signed
The NDA runs alongside — but does not replace — the statement of work, data processing terms, security exhibits, and SLAs that govern actual delivery. If a conflict arises, the project contract usually prevails for services-specific obligations.
